Terms of Service

Agreement

By accessing or using mngd, you agree to be bound by these Terms of Service. mngd is operated by Machinery Software LLC ("we," "us," or "Machinery Software"). If you are using mngd on behalf of an organization, you represent that you have authority to bind that organization to these terms.

The service

mngd provides Apple device management (MDM) software and related services, including mngd Patch, accessible via the mngd dashboard, API, and agent software installed on managed devices. We reserve the right to modify or discontinue features with reasonable notice.

Your account

You are responsible for maintaining the security of your account credentials and for all activity that occurs under your account. You must notify us immediately of any unauthorized access. You may not share your account or use mngd to manage devices you do not have authorization to manage.

Acceptable use

You agree not to use mngd to:

• Manage devices without the knowledge and consent of the device owners, where required by law.
• Violate any applicable laws or regulations.
• Interfere with the security or integrity of the mngd service or its infrastructure.
• Attempt to gain unauthorized access to other customer data or accounts.

Billing

Paid plans are billed in advance on a monthly or annual basis. All fees are non-refundable except as required by law or as explicitly stated in our pricing terms. We reserve the right to change pricing with 30 days' notice. Failure to pay may result in suspension or termination of your account.

Data and privacy

Our handling of your data is governed by our Privacy Policy, which is incorporated into these terms by reference. You retain ownership of all data you submit to mngd. You grant us a limited license to process that data solely to provide the service.

Uptime and SLA

We target high availability for the mngd service but do not guarantee uninterrupted access on standard plans. Enterprise customers with a signed MSA may be entitled to SLA credits as specified in their agreement. Scheduled maintenance will be communicated in advance where possible.

Limitation of liability

To the maximum extent permitted by law, Machinery Software LLC shall not be liable for any indirect, incidental, special, consequential, or punitive damages arising from your use of mngd. Our total liability to you for any claim shall not exceed the fees paid by you in the 12 months preceding the claim.

Termination

You may cancel your account at any time from account settings. We may terminate or suspend your account for material breach of these terms with reasonable notice, or immediately in cases of serious violations. Upon termination, your data will be deleted in accordance with our Privacy Policy.

Governing law

These terms are governed by the laws of the State of Michigan, without regard to conflict of law principles. Any disputes shall be resolved in the courts of Kent County, Michigan.

Changes to these terms

We may update these terms from time to time. Material changes will be communicated via email with at least 30 days' notice. Continued use of mngd after the effective date of changes constitutes acceptance.
